Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Ledge platform, website, applications, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

In these Terms, “Ledge,” “we,” “us,” and “our” refer to the operator of the Service. “You” and “your” refer to the individual or legal entity that accesses or uses the Service, including landlords, property managers, agents, team members, tenants, occupants, payers, and other end users, as applicable.

If you use the Service on behalf of a company, partnership, business, property owner, management company, or other organisation, you represent and warrant that you have authority to bind that entity to these Terms, and “you” will include that entity.

2. Service Description

Ledge is a web-based property management platform designed to help users manage property operations, including property and unit records, tenant and lease information, maintenance workflows, communication, payment workflows, financial records, reporting, and related administration.

The Service may include, without limitation:

  • Property and unit management
  • Tenant, resident, and lease tracking
  • Payment initiation, payment recording, and transaction visibility
  • Financial reporting and expense tracking
  • Maintenance request logging and management
  • Notices, reminders, and announcements
  • Document generation and storage
  • Tenant and payer self-service portals
  • Integrations with third-party tools and service providers

The Service is software only. Ledge is not a bank, deposit-taking institution, money transmission service, escrow agent, trustee, payment processor, or financial adviser. We do not independently process card payments, hold settlement funds on behalf of users, or guarantee the availability of any payment rail or processor.

We may add, remove, suspend, or modify any part of the Service at any time, with or without notice, including features, integrations, limits, and availability.

3. Eligibility and Accounts

You must be at least 18 years old and able to form a legally binding contract to use the Service.

To access certain features, you must create an account and provide accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • Restricting access to your account and devices
  • All activities that occur under your account
  • Ensuring that your account information remains accurate and up to date
  • Promptly notifying us of any suspected unauthorised access, fraud, or security incident

You are responsible for all team members, staff, agents, and other persons you invite to or permit to use your account.

4. User Responsibilities and Warranties

You are solely responsible for your use of the Service and for all data, instructions, records, communications, charges, notices, and transactions created, uploaded, sent, or managed through the Service.

You represent and warrant that:

  • You have all rights, consents, permissions, and lawful authority required to upload, use, and process any personal data, lease data, property data, financial data, documents, and communications submitted through the Service
  • Any rent, fee, deposit, charge, invoice, notice, reminder, or payment instruction created through the Service is lawful, accurate, properly authorised, and supported by your underlying legal relationship with the relevant tenant, payer, or occupant
  • You will comply with all applicable laws, regulations, industry rules, tax obligations, consumer protection requirements, tenancy rules, and payment network requirements relevant to your use of the Service
  • You will not use the Service to collect or attempt to collect unlawful, misleading, duplicated, fraudulent, or unauthorised charges

You remain solely responsible for your relationships with tenants, occupants, payers, vendors, and other third parties, including the legal basis, enforceability, content, delivery, and consequences of any lease, invoice, charge, receipt, reminder, notice, refund, or dispute.

5. Acceptable Use

You may not, and may not permit any other person to:

  • Use the Service for any unlawful, fraudulent, deceptive, or abusive purpose
  • Use the Service in violation of any tenancy, consumer protection, anti-money laundering, sanctions, anti-corruption, privacy, or data protection law
  • Upload malware, malicious code, or harmful material
  • Interfere with, disrupt, or attempt to gain unauthorised access to the Service or related systems
  • Reverse engineer, copy, scrape, frame, mirror, or otherwise exploit the Service except as permitted by law
  • Use the Service to harass, threaten, discriminate against, or mislead any person
  • Resell, sublicense, white-label, or commercially exploit the Service without our prior written consent
  • Use the payments functionality for prohibited, restricted, suspicious, or processor-disallowed transactions

We may investigate suspected misuse and may suspend, limit, or terminate access where we reasonably believe a violation has occurred or may occur.

6. Payment Terms and Payment Processing

6.1 Payment Feature Scope

The Service may enable you to initiate, request, receive, record, reconcile, or view rent payments, fees, deposits, utility charges, penalties, refunds, and other property-related payments.

Where online payments are enabled, those payments are processed by third-party payment providers, including Paystack, and may also involve banks, card networks, transfer networks, mobile money operators, and other third parties.

6.2 Ledge Is Not the Payment Processor

Ledge does not process card payments itself and does not store full payment card details on its own servers. Online payment processing is performed by the relevant third-party processor. Your use of payment functionality may therefore also be subject to the processor's separate terms, policies, compliance requirements, and operational rules.

6.3 Your Responsibility for Charges and Collections

You are solely responsible for:

  • The underlying transaction or tenancy arrangement for which payment is requested or collected
  • The accuracy, legality, basis, amount, description, timing, and recipient of each charge or payment instruction
  • Confirming that you are authorised to collect the payment from the relevant payer
  • Providing all required customer support to your tenants and payers regarding rent, charges, receipts, delivery of services, disputes, refunds, and related issues
  • Handling and resolving disputes with tenants, residents, and payers arising from the underlying lease, property, or payment obligation

Ledge only provides software tools to facilitate your workflows. We are not a party to any lease, tenancy, occupancy, payment, or other transaction between you and any tenant, payer, occupant, vendor, or third party.

6.4 Processor Delays, Holds, Reserves, and Availability

Settlement times, payout timing, transaction approvals, reversals, reserves, rolling reserves, verification requirements, and account holds are determined by the applicable payment processor, financial institution, or payment rail.

We do not guarantee:

  • That any payment will be successfully processed
  • That any processor or banking partner will remain available
  • That settlement or payout will occur within any specific time
  • That processor fees, deductions, reserves, or holds will not apply

Ledge is not liable for payment failures, processor outages, banking delays, compliance reviews, withheld settlements, reversals, reserves, account freezes, or other actions taken by payment processors, banks, schemes, regulators, or other third parties.

6.5 Chargebacks, Reversals, and Disputes

You are solely responsible for all chargebacks, payment disputes, reversals, processor claims, representment obligations, penalties, scheme assessments, fines, refunds, failed payment consequences, and related losses arising from your transactions or use of payment functionality.

You authorise us, where reasonably necessary, to share relevant records, transaction information, lease information, communication logs, and supporting metadata with the applicable processor or financial partner for fraud review, reconciliation, dispute handling, chargeback response, compliance, or law enforcement purposes.

If any third-party processor deducts funds, withholds settlement, imposes fees, or debits amounts in connection with your transactions, disputes, or payment activity, you remain fully responsible for those amounts.

6.6 Refunds

Unless we expressly agree otherwise in writing, you are solely responsible for deciding whether a refund is due and for instructing or processing refunds in accordance with your legal obligations, your agreements with payers, and the applicable processor rules.

We do not guarantee that processor fees, network fees, or other third-party charges will be refunded when a payment is refunded, reversed, or disputed.

6.7 Manual and Offline Payments

The Service may allow you to record manual or offline payments, including cash, bank transfer, cheque, or other off-platform payments. Ledge does not verify manual payment records independently. You are solely responsible for the accuracy, completeness, and reconciliation of all manually recorded payment information.

6.8 Authorisation to Transmit Payment Data

By enabling or using payment functionality, you authorise Ledge to transmit payment instructions, transaction metadata, payer information, account configuration data, and related operational information to applicable third-party processors and service providers as reasonably necessary to provide the Service, process transactions, detect fraud, reconcile payments, generate records, and support disputes, refunds, and compliance processes.

6.9 Suspension of Payment Features

We may, at any time and without liability to you, suspend, limit, disable, or remove access to any payment-related feature if we reasonably believe that your use presents legal, regulatory, fraud, security, financial, reputational, processor, or operational risk, or if required by a processor, bank, regulator, court, or applicable law.

7. Subscription Fees and Platform Charges

If the Service includes subscription plans, paid features, transaction-linked platform fees, onboarding fees, implementation fees, or other charges payable to Ledge, you agree to pay all applicable amounts when due.

Unless otherwise stated:

  • Fees are non-refundable except where required by law or expressly stated by us in writing
  • Taxes, duties, levies, and similar governmental charges are your responsibility, excluding taxes based on our net income
  • We may change our pricing, billing structure, or packaging upon reasonable notice

If you fail to pay amounts owed to Ledge when due, we may suspend or terminate access to the Service.

8. Data Ownership and Licence

You retain ownership of the data, documents, and content you submit to the Service, subject to the rights you grant us in these Terms.

You grant Ledge a non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, reproduce, display, and otherwise use your data solely as necessary to:

  • Provide, maintain, and support the Service
  • Operate requested features and integrations
  • Prevent fraud, abuse, and security incidents
  • Comply with law, lawful requests, and regulatory obligations
  • Generate analytics and service insights on an aggregated and de-identified basis

You are responsible for maintaining your own copies of critical records where required for your legal, tax, or operational purposes.

9. Privacy and Data Protection

Our collection and use of personal data is described in our Privacy Policy.

You acknowledge that, depending on the context, you may act as a controller or equivalent decision-maker for personal data that you upload or manage through the Service, while Ledge may act as a service provider, processor, or independent controller for limited operational, security, legal, and compliance purposes.

You are responsible for providing any notices and obtaining any consents required for your use of the Service and for the sharing of tenant, payer, staff, and third-party personal data with us and our service providers.

10. Intellectual Property

The Service, including all software, code, interfaces, workflows, designs, text, graphics, branding, documentation, and related materials, is owned by Ledge or its licensors and is protected by applicable intellectual property laws.

Except for the limited right to use the Service in accordance with these Terms, no right, title, or interest in the Service or our intellectual property is transferred to you.

11. Beta and Evolving Features

Some or all parts of the Service may be offered in beta, pilot, test, preview, or early-access form. Such features may be incomplete, changed, interrupted, or withdrawn at any time and may contain bugs or errors.

To the maximum extent permitted by law, beta and early-access features are provided “as is” and “as available” without warranties of any kind.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Ledge disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and quiet enjoyment.

Without limiting the foregoing, we do not warrant that:

  • The Service will be uninterrupted, secure, error-free, or always available
  • The Service will meet your business, legal, accounting, tenancy, compliance, or operational needs
  • Any report, notification, reminder, generated document, calculation, or payment record will be complete, accurate, or legally sufficient for your particular circumstances
  • Any online payment will be completed, settled, or free from dispute, fraud, reversal, or processor action

The Service does not constitute legal, accounting, tax, regulatory, financial, or compliance advice.

13. Limitation of Liability

To the maximum extent permitted by law, Ledge and its affiliates, officers, employees, contractors, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, or for any loss of profit, revenue, business, goodwill, opportunity, anticipated savings, contracts, tenants, data, or use, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages.

Without limiting the foregoing, Ledge shall not be liable for:

  • Processor errors, bank errors, settlement failures, payout delays, chargebacks, reversals, holds, reserves, fraud, or unauthorised transactions
  • The legality, validity, enforceability, delivery, or outcome of any lease, notice, charge, payment request, refund, or tenant interaction
  • User-entered errors, missed notices, inaccurate records, duplicate charges, failed reminders, or off-platform conduct
  • The acts or omissions of any third-party processor, bank, telecom provider, regulator, or integration partner

To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of:

  1. the total amount paid by you directly to Ledge in the twelve (12) months preceding the event giving rise to the claim; or
  2. ₦50,000.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

14. Indemnity

You agree to defend, indemnify, and hold harmless Ledge and its affiliates, officers, employees, contractors, licensors, and service providers from and against any claims, actions, proceedings, liabilities, losses, damages, judgments, settlements, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service
  • Your breach of these Terms
  • Your relationships or disputes with tenants, occupants, payers, vendors, staff, or third parties
  • Any charge, payment instruction, refund, dispute, reversal, chargeback, fraud event, or processor action connected to your account or transactions
  • Your data, documents, notices, communications, or content
  • Your violation of any law, regulation, or third-party right

15. Suspension and Termination

You may stop using the Service at any time.

We may suspend, restrict, or terminate your access to the Service, in whole or in part, immediately or at a later time, with or without notice, if:

  • You breach these Terms
  • We suspect fraud, abuse, unlawful conduct, or security risk
  • A payment processor, financial partner, regulator, or court requires or requests action
  • Your use creates risk or potential liability for us, other users, or third parties
  • We discontinue the Service or a relevant feature

Upon termination, your right to use the Service ceases immediately. We may retain or delete your data in accordance with our Privacy Policy, legal obligations, backup policies, and operational needs.

16. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. If we make material changes, we may notify you by email, in-product notice, or other reasonable means. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

The courts of Nigeria shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, except where applicable law requires otherwise.

18. Miscellaneous

These Terms constitute the entire agreement between you and Ledge regarding the Service and supersede prior or contemporaneous understandings relating to the Service.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision is not a waiver of our right to do so later.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms as part of a corporate reorganisation, acquisition, merger, sale of assets, or by operation of law.
